A Legal Disclaimer
Eligibility
Zappush LLP is a Limited Liability Partnership registered in India, with its registered office at Desk No. WSA43, First Floor, B128, B Block, Sector 2, Noida, Uttar Pradesh – 201301, India. Zappush operates two distinct lines of business:

IT Services: Custom implementation of server-side tagging, Conversions API (CAPI) integration, first-party data activation, cookieless tracking enablement, and related data infrastructure projects. These engagements are governed by individual Statements of Work (SOW) or service agreements.

SaaS Products: Software-as-a-Service offerings including ZapEvents (a Shopify app for Google Tag Manager DataLayer and e-commerce event tracking) and the Zappush Agents platform (managed AI agent hosting at agents.zappush.com).
You must be at least 18 years of age and capable of entering into a legally binding agreement to use our services. If you are using our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
These Terms and Conditions are provided to help you understand the rules governing your use of the services offered by Zappush LLP ("Zappush", "we", "our", "us"). Nothing in this document should be interpreted as legal advice for your individual circumstances.
Zappush operates a suite of data-infrastructure and analytics services including server-side tagging, customer data pipelines, attribution tooling, and related integrations. Zappush also offers Software-as-a-Service (SaaS) products including ZapEvents and the Zappush Agents platform. These Terms govern your access to and use of all our websites (www.zappush.com, agents.zappush.com), platforms, and services.
Because laws differ across jurisdictions, you are encouraged to consult with a qualified legal professional to ensure that your use of our services complies with applicable regulations relevant to your region.

Services Provided
a. IT Services (Custom Implementation)
IT Services are provided on a project basis under individually negotiated Statements of Work (SOW) or service agreements. Each SOW defines the scope of work, deliverables, milestones, timelines, acceptance criteria, and payment terms. In the event of any conflict between these Terms and a SOW, the SOW shall prevail for the specific engagement.
b. SaaS Products
SaaS Products are provided on a subscription basis. Access is granted upon successful payment of the applicable subscription fee. The specific features, usage limits, and service levels for each product are described on the respective product pages and may be updated from time to time.
Account Registration and Security
Certain services require you to create an account. You agree to:

Provide accurate and complete information during registration.

Keep your login credentials confidential.

Notify us immediately of any unauthorised access.

Accept responsibility for all activity under your account.
Zappush reserves the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent activity.
Payment Terms
a. IT Services
Payment for IT Services is governed by the applicable SOW. Unless otherwise agreed, payments are due as per the milestone schedule defined in the SOW. All payments are in Indian Rupees (INR) or US Dollars (USD) as specified, and are exclusive of applicable taxes.
b. SaaS Products
Subscription fees are charged in advance on a monthly or annual basis as selected during purchase. Prices are displayed on the product page and are exclusive of applicable taxes (including GST for Indian customers). Zappush reserves the right to revise pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the revised pricing.
Intellectual Property
a. Zappush IP
All content on www.zappush.com and agents.zappush.com, including text, graphics, logos, software, and documentation, is the property of Zappush LLP or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without prior written consent.
b. Client IP
For IT Services, any pre-existing intellectual property you provide remains your property. Unless otherwise specified in the SOW, deliverables created specifically for you under a SOW are assigned to you upon full payment. Zappush retains the right to use general knowledge, skills, techniques, and methodologies developed during the engagement.
c. SaaS Products
SaaS Products are licensed, not sold. Your subscription grants you a non-exclusive, non-transferable, revocable licence to use the product for its intended purpose during the subscription period.
Acceptable Use
You agree not to use our services to:

Violate any applicable law or regulation.

Infringe on the intellectual property or privacy rights of others.

Transmit malicious code, viruses, or harmful content.

Attempt to gain unauthorised access to our systems or other users' accounts.

Use the services for any illegal, fraudulent, or abusive purpose.

Resell, sublicense, or redistribute access to our services without written authorisation.
Violation of this section may result in immediate suspension or termination of your account.
Data Protection and Privacy
Your use of our services is also governed by our Privacy Policies. We collect, process, and store personal data in accordance with applicable data protection laws, including the Information Technology Act, 2000 and its associated rules.

Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of engagement. This obligation survives the termination of these Terms or any SOW for a period of two (2) years.
Limitation of Liability
To the maximum extent permitted by law, Zappush LLP shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services, including but not limited to loss of profits, data, or business opportunities.
Our total aggregate liability under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. Zappush makes no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of our services. We do not guarantee uninterrupted, error-free, or secure operation of our platforms.
Indemnification
You agree to indemnify and hold harmless Zappush LLP, its partners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or your violation of any applicable law or third-party rights.
Term and Termination
These Terms remain in effect as long as you use our services. Zappush may suspend or terminate your access at any time for breach of these Terms, with or without notice.
Upon termination, your right to use our services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
Modifications to Terms
Zappush reserves the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our services after any changes constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India.
Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Noida, Uttar Pradesh. The courts of Noida shall have exclusive jurisdiction for any matters not subject to arbitration.
Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with any applicable SOW, Privacy Policies, and product-specific terms, constitute the entire agreement between you and Zappush LLP with respect to the subject matter hereof.
